Misrepresentations or omissions in the offering
Investors were not told material facts about risks, finances, conflicts, use of proceeds, or the issuer’s condition.
Private placements are illiquid, complex, and often mis-sold. If you lost money in a private offering you were not suited for, we evaluate FINRA and securities claims.
A private placement is an investment offered outside a public securities offering, often through a private-placement memorandum, subscription agreement, or other offering materials. These investments may include real-estate ventures, private companies, funds, promissory notes, oil and gas projects, and other alternative investments.
Private placements can carry significant risk, including illiquidity, limited disclosure, valuation uncertainty, conflicts of interest, and the possibility of total loss. The fact that an investment was private does not excuse misleading sales practices or unsuitable recommendations.
We evaluate the offering documents, the investor’s qualifications and circumstances, the seller’s statements, use of proceeds, and whether the investment was properly recommended and disclosed.

Private-placement claims often concern the gap between the sales presentation and the actual investment.
Investors were not told material facts about risks, finances, conflicts, use of proceeds, or the issuer’s condition.
A broker or advisor recommended an illiquid or speculative offering to an investor who needed liquidity, diversification, or lower risk.
A private offering was sold in a manner that did not properly account for investor qualification requirements or disclosure obligations.
These signs matter because private placements often have limited liquidity and limited independent information.
Save the private-placement memorandum, subscription agreement, emails, texts, wire records, account statements, and all promotional materials.

Private-placement cases require careful review of the offering and the specific sales process.
Potentially. Investor status may be important, but the available claims depend on the offering, disclosures, and facts of the sale.
Signing documents does not automatically eliminate claims based on material misrepresentations, omissions, or unsuitable advice.

The consultation is free. Some matters are hourly, and some are contingency. On a contingency matter — No Recovery, No Fee — we do not collect an attorney's fee unless we recover for you. That fee is a percentage of the recovery. In some litigated matters we advance costs and expenses; those advanced costs are recovered from the gross recovery of any verdict or settlement. We explain the arrangement before you hire us.
